上述單詞或詞組均有公司“章程”的含義。對(duì)于這些術(shù)語(yǔ)， 美國(guó)與英國(guó)和加拿大等國(guó)的用法有一定差異。如在美國(guó)，articles of association (在許多州也稱為articles of incorporation)為公司的“組織大綱”或“公司簡(jiǎn)章”，一般是指組建公司時(shí)向有關(guān)政府當(dāng)局提交的公司簡(jiǎn)章，其內(nèi)容簡(jiǎn)單， 通常只包括公司名稱、公司存在的時(shí)間、經(jīng)營(yíng)目的、股份數(shù)額、股票種類、董事姓名地址等內(nèi)容[1]。

而在公司被批準(zhǔn)成立后， 公司內(nèi)部管理等許多具體事項(xiàng)則由by-laws或articles of amendment 予以規(guī)定，故by-laws和articles of amendment在美國(guó)即等同“公司章程細(xì)則”或“公司內(nèi)部管理規(guī)章” [2] (注：在英國(guó)或加拿大等，articles of amendment指“更改公司體制之規(guī)章”[3])。盡管by-laws或articles of amendment也是按州法規(guī)定制定，但它們卻是另外的獨(dú)立文件。

在英國(guó)及加拿大等，articles of association則是指含公司章程細(xì)則或內(nèi)部管理規(guī)則[4]；而memorandum of association則等同組建公司時(shí)向有關(guān)部門提交的公司簡(jiǎn)章[5]。certificate of incorporation在美國(guó)有些州也用作指公司章程， 但其多用于不發(fā)行股票的公益公司或互濟(jì)公司[6]。charter (也稱為 corporate charter)也可用作指章程，它和 articles of association的區(qū)別在于它是指經(jīng)君主或立法機(jī)關(guān)特許成立（未作為公司登記注冊(cè)）的公司的章程，如英國(guó)原先的“東印度公司”（East Indian Company)的章程等[7]。

相比之下，我國(guó)的一般公司的章程是將公司組織大綱或簡(jiǎn)章和章程細(xì)則（或內(nèi)部管理規(guī)章）合并組成的一個(gè)文件，統(tǒng)稱為“公司章程”，因而，中國(guó)意義上的“公司章程”實(shí)際上等同于articles of association加上by-laws。故筆者認(rèn)為，按美式英語(yǔ)，我國(guó)公司的“公司章程”的準(zhǔn)確翻譯應(yīng)為：Articles of Association & By-laws; 按英式英語(yǔ)，其應(yīng)為：Memorandum of Association & Articles of Association。
