(五）所有權(quán)和風(fēng)險(xiǎn)條款(Title and Risk of Loss)

【原文】Retention of title
If the parties have validly agreed on retention of title, the goods shall remain the property of the Seller until the complete payment of the price, or as otherwise agreed.
【譯文】所有權(quán)保留
如果雙方確實(shí)同意對(duì)所有權(quán)保留，則在完成貨款支付前該貨物的所有權(quán)仍歸賣(mài)方，或另行規(guī)定。
【賞析】
1.if引導(dǎo)條件狀語(yǔ)從句，until引導(dǎo)時(shí)間狀語(yǔ)從句。
2.retention of title在譯為中f的時(shí)候可以將名詞轉(zhuǎn)為動(dòng)詞。
3.“the goods shall... ”在譯$中文時(shí)，將goods和property兩個(gè)主語(yǔ)和賓語(yǔ)組合成偏正名詞短語(yǔ)“貨物的所有權(quán)”，更符合中文表達(dá)的邏輯習(xí)慣。
(六）知識(shí)產(chǎn)權(quán)條款(Intellectual Property)
例6
【原文】
Unless otherwise agreed in schedule 1, X X X owns all intellectual property：
a)In and to all deliverables； or
b)Arising out of the provision of the Services,
and to extent any such intellectual property is owned by Vendor, Vendor assigns all such intellectual property to XXX.
【譯文】
除非附件1另有協(xié)議，XXX擁有全部的知識(shí)產(chǎn)權(quán)：
1）所有可交付物附帶的；或者
2）因提供該服務(wù)所產(chǎn)生的，
以及知識(shí)產(chǎn)權(quán)屬于供應(yīng)商的，供應(yīng)商應(yīng)轉(zhuǎn)讓所有該等知識(shí)產(chǎn)權(quán)給X X X。
【賞析】
1. unless引導(dǎo)條件狀語(yǔ)從句，是否定意義，譯為“除非……”。
2.a、b兩個(gè)條款都是修飾“知識(shí)產(chǎn)權(quán)”。由于該條款行文格式固定，因此翻譯時(shí)，仍保持原文結(jié)構(gòu)。
