(一)定義條款(Definition Clauses)
例1
【原文】
Know-how shall mean all the manufacturing technology and process engineering to manufacture the contract products which are required by Party A and which Party B possesses. Such technology engineering shall include technical details of all designs, operation drawings, technical documentations, manufacturing engineering, procedure and techniques.
【譯文】
專有技術(shù)系指所有乙方擁有甲方需要的用于生產(chǎn)本合同產(chǎn)品的生產(chǎn)技術(shù)和工藝技術(shù)。該技術(shù)應包括具體的設計、操作圖紙、技術(shù)文件、生產(chǎn)工藝、流程和方法。
【賞析】
1.作為限定概念的條款，定義條款采用肯定陳述句，常常使用shall表示指令性和強制性，對后面陳述內(nèi)容進行約束。例如本例第一句中的shall mean，是對know-how下定義，譯成中文采用較正式的語氣“系指”。有時候也可以直接用is/are來下定義,例如：“MOFCOM”is the Ministry of Commerce of the People’s Republic of China.(商務部即中華人民共和國商務部。）
2.第一句的兩個定語從句“which are required by Party A”和“which Party B possesses”，都是修飾前面的“all the manufacturing technology and process engineering”，翻譯的時候定語從句轉(zhuǎn)為前置定語“乙方擁有的，甲方需要的”。"to manufacture the contract products”是不定式修飾前面的名詞詞組，表示作用或目的，漢語允許多個前置定語疊加在名詞結(jié)構(gòu)之前，因此同樣翮譯為前置定語“用于生產(chǎn)本合同產(chǎn)品的”。
(二)稱述與保證條款(Representation and Warranties)
例2
【原文】
The Seller guarantees that the goods shall be in accordance with the Seller's specifications.
【譯文】
賣方保證貨物品質(zhì)規(guī)格要符合賣方的規(guī)格說明。
【賞析】
"...guarantees that”是保證條款中的常用句型，即“X X保證(如下內(nèi)容）”。that引導的賓語從句是具體條款內(nèi)容，采用正式文體敘述。
(三）合同轉(zhuǎn)讓條款(Assignment Clauses)
例3
【原文】
The Contractor shall not assign the Contract or any part thereof，or any benefit or interest therein or thereunder without the prior written consent of the Employer.
【譯文】
未經(jīng)業(yè)主事先書面同意，承包方不得轉(zhuǎn)讓本合同或本合同的任何部分或本合同項下任何利益或權(quán)益。
【賞析】
1.“shall”表示指令性或強制性，后面加否定詞，譯為“不得”。
2.古體詞“thereof”譯為“在其中'“therein or thereunder"譯為“在其中及其下，按規(guī)定條款”，本句中指合同中各項條款和所有部分。通過這三個詞將合同所有內(nèi)容囊括在內(nèi)，避免產(chǎn)生分歧。因此翻譯的時候也要將合同、合同任何部分及合同項下三個方面分別強調(diào)?？此浦貜?，實際上是保證了內(nèi)容的完整性。
3.“prior”指書面同意的內(nèi)容是承包方轉(zhuǎn)讓的前提。
(四）完整合同與修改(Entire Agreement/Amendment)
例4
【原文】
This Agreement with Exhibits embodies the entire agreement and understanding between the parties hereto and supersedes all prior agreements and understandings in relation to the subject matter hereof.
【譯文】
本協(xié)議及其附件包含本協(xié)議雙方間完整協(xié)議和磋商，取代以前所有與本協(xié)議標的有關(guān)的 協(xié)議和磋商。
【賞析】
1.“embody”是正式書面用語，譯為“包含，包括”。
2.古體詞“hereto”和“hereof”分別譯為“至此”和“就此”。本例中指“本合同相關(guān)的 雙方”及“就本協(xié)議達成的協(xié)議和磋商”。
3.“supersede”是較正式的書面語，譯為“取代”。
