【原文】 Indemnification of Lessor
Lessee shall and does hereby agree to protect and save Lessor harmless against any and all losses or damage to equipment by fire, flood, explosion, tornado or theft and Lessee shall and docs hereby assume all liability to any person whomsoever arising from the location, condition or use of equipment, and shall indemnify Lessor of and from all liability, claim and demand whatsoever arising from the location, condition, or use of equipment whether in operation or not, and growing out of any cause, and from every other liability，claim and demand whatsoever during the term of this Lease of arising while equipment is in the possession of Lessee. Lessee also agrees to promptly reimburse Lessor, in cash, for any and all personal property taxes levied against equipment and paid by Lessor.
【譯文】 出租人保證賠償
承租人應由此同意保護并使出租人免于任何因火災、洪水、爆炸、颶風、偷盜造成的任一和全部損失或對設備造成的損害。承租人應承擔所有因設備位里、條件、使用所產(chǎn)生對 任何人的責任。而且應保證賠償出租人全部的責任、索賠或要求，無論是基于設備的位 置、條件或使用與否，還是任何原因，以及保證賠償無論在租約期間或承租人占用設備時 所產(chǎn)生的其他責任、索賠和要求。承租人也同意立即以現(xiàn)金方式補償出租人所支付的對 設備征收的所有動產(chǎn)稅費。
【賞析】
本條款最大的特點是有很多疊加詞組，shall and does,protect and save,any and all, losses or damage,of and from.claim and demand。這是合同中常見的表達方式，一方面可以起強調作用,一方面可以最大限度表述所約定的條款，避免由于用詞單一而可能產(chǎn)生
的意思不明確或不完整。
(六）解除與終止條款(Rescission and Termination)
例6
【原文】
In case of inability to fulfill the contract or to continue operation due to heavy losses in successive years as a result of force majeure. the duration of the cooperative venture and the contract shall be terminated before the time of expiration after being unanimously agreed upon by the board of directors and approved by the original examination and approval authority.
【譯文】
如果因不可抗力致使在下一年度遭受嚴重損失而不能展行合同或繼續(xù)經(jīng)營，經(jīng)董事會一致同意，并經(jīng)原審批機關批準，合作期限和本合同應在期限屆滿前終止。
【賞析】
1.條款后半部分兩個畫線成分都是時間狀語。其中一個實際上是前提條件，因此翻譯的時候可以提前譯出。
2.“in case of”引導一個假設的情況，譯為“如果”。
3.“inability”后的不定式實際上是補充說明inability，翻譯時可將名詞轉換為動詞，譯為“不能”做什么。
(七）違約條款(Default Clauses)
例7
【原文】
Subject to special provisions explicitly of this Agreement thereunder, the other party shall be entitled to notify the party in default by registered letter； Unless satisfactory remedial measures are taken within a period of two weeks, the party demanding remedy shall be entitled to claim compensation for losses and damages.
【譯文】
根據(jù)本協(xié)議項下明確的專門規(guī)定，本協(xié)議的另一方有權以掛號信的方式通知違約方；除非在兩周內采取符合要求的補救措施，否則要求補救的一方有權就其遭受的損失和損害提出賠償。
【賞析】
1.在合同英語中，“subject to”表示“在……條件下”，相當于“depending on ...","as a condition”或“only if ...”。從屬連詞“unless”引導條件狀語從句，含否定義。
2.“the party in default”指違約方。
3.“shall be entitled to do”指應被授權，翻譯時可轉為主動態(tài)，譯為“有權做……”。
4.時間狀語“within a period of two weeks”翻譯時調整至句首。
